US healthcare technology and pharmaceutical distribution company Wellgistics Health has executed a non-binding letter of intent to acquire WellCare Today, a healthcare technology and remote monitoring company, in a move designed to accelerate its expansion into remote patient monitoring, remote therapeutic monitoring, and chronic care management programmes, according to the Irish Sun.

The proposed transaction includes a structured cash payment of $3 million (€2.77 million), with the balance to be satisfied through a performance-based earnout issued in preferred stock.

WellCare Today delivers HealthAssist®, an advanced remote health monitoring platform embedded within standalone Samsung Galaxy Watch devices, enabling passive, continuous monitoring of key health metrics including heart rate, blood oxygen levels, temperature, sleep patterns, activity tracking, and self-reported medication adherence through Medicare-reimbursable programmes.

Wellgistics Health intends to integrate WellCare Today's HealthAssist® platform with its recently announced MSO pilot collaboration involving Kare Clinicals, as well as its network of more than 6,500 independent pharmacies, creating a combined infrastructure designed to support scalable patient engagement, medication adherence, and chronic disease management.

The proposed transaction is expected to create opportunities for participating pharmacies within the Wellgistics Pharmacy Network to engage in clinical service programmes associated with remote monitoring initiatives, while enabling providers to access scalable care coordination and reimbursement infrastructure.

Nasdaq-listed Wellgistics Health operates a proprietary pharmacy dispensing optimisation AI platform, EinsteinRx™, integrated with its blockchain-enabled smart contracts platform PharmacyChain™, connecting more than 6,500 pharmacies and over 200 manufacturers across the US prescription ecosystem.

The LOI remains non-binding, with completion subject to due diligence, definitive agreements, board approvals, and customary closing conditions.
